Ok, do the following:

-Have Peter Pan and Goofy in your party
-Take off every single ability from those two that consumes MP except for Goofy's MP Gift, which should be equipped (it will say in the ability description if it uses MP).
-Equip yourself with as much MP gaining equipment as possible. (You'll have at least 3 accessories that give 1 MP. If you can make an Atlas Armlet or two that's good but not really needed. By the time you can fight Phantom you will have access to the White Trinity. Find the White Trinity in Wonderland, which gives the Lady Luck keyblade, which is a good one for this fight.) Give Goofy any other MP gaining accessories, and if you have it his Dream Shield.
-Customize yourself with Stop(ra), Aero(ra), and Cura(ga)
-Customize Peter Pan and Goofy to use MP items only in emergencies. Customize Goofy to use Support Abilities frequently.
-Fill everyone's item slots with Ethers, and give Sora a Megalixir or two. (don't bother with Mega Ethers)
-Make sure Sora and Goofy have MP Haste and MP Rage (two is always better). Take off any combo pluses from Sora. Give Sora and Goofy Second Chance, and Peter Pan all three of his Critical Pluses. You won't need Second Wind for Goofy because you'll be keeping him alive.
-Practice being a little quick to the draw using Fire, Blizzard and Thunder magic manually.

Ok, those preparations are good. The point of all that is to make your MP as high as possible, which will make your magic more powerful. Also, you are going to be using A LOT of MP in this fight, so you will be the only one using MP, which means that all Ethers will go to you. The only other one using MP is Goofy, and that's only to give Sora more MP.

Now for the actual fight.
-Once the fight starts, immediately fly to the clock, lock on to one of the clock hands (I think it's the minute hand) and cast Stop(ra) on it. If you don't, the clock hand will start moving, and if it goes all the way around one of your party members will die, unrecoverably. If this happens three times it's game over.
-Cast Aero(ra). Try to remember to keep it on. It helps.
-The phantom has an orb underneath it. It will be one of four colors, which will indicate how you should attack it:
1. Red: attack with fire
2. Blue: attack with blizzard
3. Yellow: attack with thunder (you have to be kind of near Phantom for this one)
4. White: attack with keyblade
You will be able to attack it three times (which is why Sora has no Combo Plus, if there are three whites in a row the finishing attack will do more damage).
-After you attack the orb three times, the Phantom will retreat near the clock tower. It will then released an orb that will attack Sora (only Sora). This attack will hit Sora repeated. It can kill him, even with Second Chance and full health. There are three ways to avoid this.
1. Cast Aero(ra). This will usually block the attack, but don't count on it.
2. Once the attack starts hitting Sora, cast Cura(ga) as fast as you can repeatedly, and you'll probably survive it.
3. (Recommended) Fly near a wall next to the wall where the Phantom is (like if the Phantom is at the South wall, go right next to the East or West wall) so that you can't see it. There is a noise accompanied with this attack. Once you hear the noise, wait a few seconds, and the attack will hit the wall, and you're safe.
-Number three is recommended for two reasons. One, it's the easiest and least MP consuming. Two, you will be needing to cast Stop(ra) on the clock hand every so often. I would say that every other time you have to go hide from this attack, you should recast Stop(ra) on the clock hand. And the more MP you have, the longer Stop(ra) will last.

That's the important stuff. Otherwise, just attack like the orb tells you to, keep your HP and MP up, and heal your party members if they die, especially Goofy. You don't usually have to worry about your party members because Phantom will more often than not attack Sora. Phantom's attack (and it only has one other attack where it cirlces you and then heads straight for you and swipes you with its weapon) is easy enough to dodge when you are flying, and even if you are hit one hit won't kill you. Only if you and Goofy run out of Ethers and MP should you use a Megalixir, but with using the above preparations it shouldn't really be a problem.

If you are still having problems, level up, make all your spells -aga spells (except Stop of course), make enough Atlas Armlets to fill Sora and Goofy's accessory slots, and make the Ultima Weapon. You really should be able to do it without all of that though, it's not as hard as it might seem.

Oh and you can also use the little 'cover' above the clock tower (its like a room but you can only go around the outside). I tend to hide in there when phantom uses his magic (the one that drains your life) by the clock face. Just make sure you are around the corner so that the magic doesnt find you. Again the noise accompanied by it will give you an idea of when its safe to come out.

It should also be noted that on Hard mode Sora will be targetted by the 'Death Sentence' first.

Yeah.

Anyway, I beat him with the Oblivion and no MP Rages*, so its sure possible to do with all the other better setups. I think he's the most tedious optional boss.

*I forgot to equip everything before I got to the battle, okay?!

Yea I have to attempt to kill this guy at least one or two times before I actually succeeded. This boss is definately all about the strategy.

The recent times I have played KH I would always fight Phantom immediately after the first Hollow Bastion visit. I am between level 48 and 50 at this time. You should be more than able to do this fight at level 80.
