64-bit is useful for RAM sizes larger than 3GB. 32-bit Vista itself will only address 4GB of RAM (due to being 32-bit and not fully using PAE), and even then some of the usable address space will be lost to memory-mapped I/O and devices.

You might have an easier time finding hardware drivers for Vista 32-bit though, as not all manufacturers readily have 64-bit drivers available for all hardware.

An OEM license is generally meant for system builders to preinstall on a single computer. You are generally expected to buy an OEM license with hardware and use it on a single machine only. From personal experience, you can reinstall OEM versions of Windows (XP) even on different machines with different hardware, you will have a limited number of activations though, although this number seems to reset if you wait a long time (> 6 months?) between activations. Just play by the rules and use it on only 1 computer per license and you will be a-ok.

Also, I don't believe OEM licenses come with the usual complement of support, as Microsoft sell them at a reduced cost with the expectation that the computer manufacturer will directly provide support.
