How the heck do I beat Odin? I get so much damage on him for the first two rounds and then....I'm dead. His ODIN attack kills my whole party with over 5000 damage.What should I do???? My characters are around level 40, more or less if that helps.

He will almost always kill your party on the first round. You need to be able to deal enough damage that you can take him out before he attacks. What levels are your characters?
Odin in FFIV is weak against Lightning. There is a hint in a book in the town of the Summons; it suggests that the only time Odin ever lost was when his sword was struck by a bolt of lightning. So, have Rydia use Bolt3 (Lit3) for 9999 damage, have Edge use Blitz, and hope that he goes down before he can kill you.
If you still can, cast Bersk on Cecil, possibly Edge as well. Use Lit3, or maybe even call Bahamut if you have him, but I don't know how much damage the lightning-elemental summon would do (Indra? Or was it Ramuh?). Rosa's attacks wouldn't be able to contribute much, unless she knows White (Holy), so I'd just have her Haste-ing and Bersk-ing people.
If it's timed right, Kain can be jumping and in the air when Odin does his attack, and will live through it.
Go with Fusuya(sp?) in your party. Have cecil straight up atack. Rosa can use lightning casting items. Rydia can cast Lit3, Fusuya can cast Lit3, edge can use his Lightning based blitz. He'll die in time
